Terms of Service

1. Acceptance

Agreement to these terms

These Terms of Service (“Terms”) form a binding agreement between you (“you”, “User”) and the operator of Catalyst, an individual sole proprietor based in the Republic of Lithuania (“Catalyst”, “we”, “us”). By accessing catalystview.xyz, creating an account, or otherwise using the Service, you confirm that you have read, understood, and accepted these Terms in full. If you do not accept them, do not use the Service.

We may update these Terms from time to time. The “Last updated” date above reflects the current version. Material changes will be announced via the Service and, where appropriate, by email. Continued use after a change constitutes acceptance of the revised Terms.

2. The Service

What Catalyst is — and is not

Catalyst is an information service that ingests publicly available filings from the U.S. Securities and Exchange Commission (“SEC”) EDGAR system — principally Form 4 insider-transaction reports — and presents them in an organised feed. Each signal may be accompanied by AI-generated narrative commentary.

Catalyst is purely informational and educational. It is not, and must not be construed as:

  • investment advice, financial advice, tax advice, or legal advice;
  • a recommendation, solicitation, or offer to buy, sell, or hold any security;
  • a personalised analysis of your financial situation, goals, or risk tolerance;
  • a brokerage, advisory, custodial, or money-management service.

The operator is not registered with the U.S. SEC, FINRA, the Lietuvos bankas, ESMA, or any other financial regulator, and does not act as an investment adviser, broker-dealer, or any other regulated financial intermediary.

3. Eligibility

Who may use Catalyst

  • You must be at least 18 years of age and capable of forming a binding contract.
  • You must use the Service in compliance with all laws applicable to you.
  • You may not use Catalyst from any jurisdiction where its content is unlawful.
  • You must not be a person subject to U.S., EU, UK, or UN sanctions.

If we learn that an account has been opened by someone under 18, we will close it and delete associated personal data.

4. Accounts

Your account

Authentication is provided by Clerk, Inc. By signing up, you also agree to Clerk's terms and privacy policy for the limited purpose of authentication. You are responsible for keeping your credentials secure and for all activity carried out through your account. Notify us at legal@catalystview.xyz if you suspect unauthorised use.

5. Pricing and donations

Free service · voluntary crypto donations

Catalyst is provided free of charge. There is no paid tier, no subscription, and no recurring billing at this time. We do not collect card details and we do not process fiat payments.

Users may, entirely voluntarily, send a one-time cryptocurrency tip to the addresses published on /donate. Donations are sent peer-to-peer on the relevant blockchain; we never custody funds for the sender, and there is no payment processor between you and the receiving wallet.

Nature of donations. Donations are not payments for any product, service, equity, security, future return, or preferential access. They do not entitle the sender to any benefit beyond what is freely available to every user of the Service. Once a transaction is confirmed on-chain, it is irreversible — by the design of the underlying network, not by our policy. We cannot refund a crypto donation, even on request.

Tax treatment. Donations are non-tax-deductible. Catalyst is not a registered charity. You are responsible for any tax reporting obligations that apply to your own crypto transfers.

6. Acceptable use

What you may not do

  • Scrape, mass-download, or systematically extract data from the Service for redistribution;
  • Reverse engineer, decompile, or attempt to derive source code, except as permitted by mandatory law;
  • Resell, sublicense, or repackage the AI-generated commentary as your own product;
  • Probe, attack, or interfere with the integrity, availability, or security of the Service;
  • Use the Service to harass, defame, or violate the rights of others;
  • Use the Service to facilitate market manipulation, insider dealing, or any other unlawful trading activity.

We may suspend or terminate accounts that breach these rules, with or without notice.

7. Intellectual property

Ownership and licence

Filings sourced from SEC EDGAR are public records of the United States Government and are not subject to copyright in the United States. Everything else on the Service, including the design, the AI-generated commentary as compiled and presented, the codebase, the database of curated signals, the brand name “Catalyst”, the logo, and any aggregated statistics, is owned by us or our licensors and is protected by copyright, database-right, and trademark laws.

Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to access and view the Service for your own informational use. All rights not expressly granted are reserved.

8. Third-party content

AI commentary, market data, and external links

The narrative summaries shown next to each signal are produced by large language models — currently Anthropic Claude Haiku and Sonnet, accessed via the OpenRouter API. Such models can hallucinate, omit material facts, or misinterpret filings. Treat AI commentary as an unverified starting point, not as a conclusion. Always verify against the original filing on EDGAR before drawing any conclusion.

Outbound links to brokerage sites, news outlets, or company investor-relations pages are provided for convenience. We do not control, endorse, or take responsibility for third-party content.

9. Disclaimers

“As is” — no warranties

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or uninterrupted operation. We do not warrant that signals are delivered in real time, that data is free of errors, or that any historical pattern will repeat. Past performance of insider transactions, AI-tagged signals, or any security is not indicative of future results.

10. Limitation of liability

Cap on damages

To the maximum extent permitted by applicable law, in no event shall Catalyst, its operator, contractors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, trading losses, or business opportunities, arising out of or in connection with your use of the Service — including any decision to buy, sell, or hold a security based wholly or partly on Catalyst content or AI commentary.

Our aggregate liability for all claims relating to the Service is limited to the greater of (a) the amount you paid to us in the twelve months preceding the event giving rise to liability, or (b) EUR 50. Nothing in these Terms excludes or limits liability that cannot be excluded under mandatory consumer protection law (including, where applicable, the EU Digital Content Directive 2019/770 or the Lithuanian Civil Code).

11. Indemnity

Your responsibility

You agree to defend, indemnify, and hold harmless Catalyst and its operator from any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (i) your breach of these Terms, (ii) your violation of applicable law, or (iii) your investment, trading, or financial decisions, however informed.

12. Suspension and termination

Ending the agreement

You may close your account at any time from the dashboard or by emailing legal@catalystview.xyz. We may suspend or terminate access immediately if you breach these Terms, if required by law, or if continued provision of the Service to you would expose us to legal or security risk. Sections that by their nature should survive (e.g. IP, disclaimers, liability, governing law) will survive termination.

13. Governing law

Law and jurisdiction

These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict-of-laws principles, and excluding the UN Convention on Contracts for the International Sale of Goods. Any dispute that cannot be resolved amicably shall be submitted to the competent courts of Vilnius, Lithuania. EU consumers retain the protections of the mandatory laws of their country of residence and may bring proceedings before the courts of that country. EU residents may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14. Miscellaneous

General provisions

  • Entire agreement. These Terms together with the Privacy Policy and Investment Disclaimer constitute the whole agreement between you and us.
  • Severability. If any clause is held invalid, the remainder remains in force.
  • No waiver. Failure to enforce a right is not a waiver of that right.
  • Assignment. You may not assign these Terms; we may assign them in connection with a corporate reorganisation or sale of the Service.
  • Notices. Legal notices to us must be sent to legal@catalystview.xyz.
