Catalyst is an information tool that surfaces public SEC filings and pairs them with AI-generated commentary. You are 100% responsible for your own investment decisions and for any gains or losses they produce.

1. Not advice

What you are looking at

Catalyst aggregates Form 4 insider-transaction filings published by the U.S. Securities and Exchange Commission's EDGAR system, and STOCK Act PTR disclosures from the House Clerk and Senate eFD. These filings are a matter of public record. Around each significant filing we display narrative commentary produced by a large language model — currently Anthropic Claude Haiku and Sonnet, accessed via the OpenRouter API. The commentary is generated automatically and is not reviewed by a human analyst before publication. The specific model used for any given signal can change as we tune cost and quality.

The operator of Catalyst is not registered with the U.S. Securities and Exchange Commission, FINRA, the Lietuvos bankas, ESMA, or any other financial regulator. The operator is not an investment adviser, broker-dealer, financial planner, or research analyst, and does not hold any equivalent licence. The Service is offered only as general informational and educational content, available identically to all users; it is never tailored to your personal financial situation, objectives, risk tolerance, holdings, or jurisdiction.

2. AI may be wrong

Limits of AI commentary

Large language models are statistical pattern-matchers, not analysts. The commentary on each signal can contain factual errors (“hallucinations”), out-of-date context, misread numbers, or misattributions. We do not guarantee that AI summaries accurately reflect the underlying filing. Always click through to the original Form 4 on EDGAR and verify the figures, the insider's role, the ownership type (direct/indirect), the transaction code, and any footnotes before drawing a conclusion. If the AI summary and the underlying filing disagree, the filing governs.

3. Past results

Past performance does not guarantee future results

Some pages display backtests, “hit rates”, win/loss ratios, average returns, or other historical statistics. These figures are descriptive of the past only. They are subject to look-ahead bias, survivorship bias, data-quality issues, and the simple fact that markets change. They do not represent the performance of any portfolio you could actually trade and they are nota reliable predictor of future performance of any insider, ticker, sector, or strategy. Trading on insider-buying signals can produce significant losses.

4. Risks of trading

Investing involves risk

  • You can lose part or all of the capital you invest.
  • Equity prices can move against you violently and without warning.
  • Insider purchases are reported with a lag (Form 4 is generally due within two business days, but exceptions exist) and the market may have already priced in the information by the time you see it.
  • Insiders can be wrong about their own companies. They can also sell for non-informational reasons (10b5-1 plans, diversification, taxes).
  • Liquidity, slippage, taxes, and fees all reduce real-world returns relative to any theoretical pattern.

Before making any investment decision, consult a qualified, licensed financial adviser who is authorised in your jurisdiction and who has reviewed your full financial situation. Consider also speaking with a tax adviser about the local treatment of any gains or losses.

5. Public data

SEC EDGAR is a public record

The underlying filings displayed on Catalyst — including Form 4 insider-transaction reports, Form 3 initial-ownership reports, and related documents — are public records of the United States Government. Works of the U.S. federal government are not subject to copyright in the United States, and EDGAR data is freely redistributable. Catalyst's contribution is the curation, ranking, presentation, and AI commentary layered on top of that public data.

6. No conflict of interest

Positions and compensation

The operator of Catalyst does not hold securities positions in the companies covered on the Service in a way that is intended to influence the content shown. Catalyst does not accept payment from issuers, brokerages, or any third party to highlight, promote, or rank a particular ticker or insider. Catalyst is not paid to write “research” about any company. If this ever changes — for example, if Catalyst introduces sponsored content or affiliate links — that will be clearly disclosed both on this page and inline next to the relevant content.

7. Forward-looking statements

Forecasts are speculative

Any AI-generated commentary that discusses what a stock “could”, “might”, or “is likely to” do is a forward-looking statement. Forward-looking statements are inherently uncertain and depend on assumptions and conditions that may not hold. Actual results may differ materially.

8. Jurisdictional notice

Where Catalyst is offered

Catalyst is operated from Lithuania and is intended primarily for users in the United States and globally for general information. The Service is not directed at, and is not intended for, residents of any jurisdiction where the publication or use of this content would be contrary to local law or regulation, or would subject the operator to a registration requirement. Users access the Service on their own initiative and are responsible for compliance with their local rules.
