How it works

Three steps from filing to signal.

Live EDGAR feed

We poll the SEC every 15 minutes for new Form 4 filings — the same ones insiders are required by law to submit within 2 days of a trade.

Smart filtering

Most trades are grants or option exercises. We surface only open-market purchases and sales by officers and directors above material dollar thresholds — the signal that actually matters.

AI analysis

Each significant filing is graded by an AI against historical context — the insider's prior trades, any cluster of other buyers, where the price sits in its 90-day range, and any previous Catalyst signals on the same ticker. The output is a 1–10 conviction score and a short narrative, never personalised advice.

Transaction codes

What the SEC codes mean.

PBUY

Open-market or private purchase. The strongest insider signal — officers buying with their own money.

SSELL

Open-market or private sale. Noisier than buys (taxes, diversification, 10b5-1 plans), but cluster sells matter.

AAWARD

Equity grant or stock award. Compensation, not a directional trade.

MEXERCISE

Exercise of derivative (option) at the strike price. What matters is whether the insider then sells or holds the resulting shares.

FWITHHOLDING

Shares withheld by the company to cover the insider's tax bill on a vesting event. Mechanical, not a signal.
